Welcome to Wellumix. These Terms of Service ("Terms") govern your access to and use of the Wellumix platform, website at wellumix.org, and mobile applications (collectively, the "Service") operated by Wellumix, Inc. ("Wellumix," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you are at least 16 years of age, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Wellumix provides a digital wellness platform that uses artificial intelligence to deliver personalized health and wellness guidance. Our Service includes health tracking and monitoring tools, personalized wellness recommendations and coaching, integration with third-party wearable devices and health platforms, nutritional guidance and meal planning, sleep optimization tools, mental wellness and mindfulness content, and corporate wellness program management features.

The information, recommendations, and guidance provided through our Service are for general wellness purposes only and do not constitute medical advice, diagnosis, or treatment. 3. Account Registration and Security

To access most features of our Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate and current. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must immediately notify us at security@wellumix.org of any unauthorized use of your account or any other security breach.

We reserve the right to terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes. You may not create accounts on behalf of others without their explicit authorization.

4. Subscription Plans and Payments

Wellumix offers both free and paid subscription tiers. Paid subscriptions are billed on a monthly or annual basis as selected at time of purchase. By subscribing to a paid plan, you authorize Wellumix to charge your payment method on a recurring basis until you cancel your subscription.

Subscriptions automatically renew at the end of each billing period unless canceled. You may cancel your subscription at any time through your account settings or by contacting hello@wellumix.org. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable law.

We reserve the right to change subscription pricing upon 30 days written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Health Data and Privacy

You retain ownership of all health data you provide to or generate within the Wellumix Service. By using the Service, you grant Wellumix a limited license to collect, store, process, and use your health data to provide and improve the Service as described in our Privacy Policy. You may export or delete your health data at any time through your account settings.

You acknowledge that the accuracy of wellness recommendations depends on the quality and completeness of the data you provide. Wellumix is not responsible for inaccurate recommendations resulting from incomplete, inaccurate, or misleading data you provide.

The Service and its original content, features, and functionality — including but not limited to our wellness algorithms, AI models, user interface designs, artwork, and written content — are owned by Wellumix and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You retain full ownership of any content you create or input into the Service, including journal entries, goal descriptions, and notes. You grant Wellumix a non-exclusive, royalty-free license to use this content to provide and improve the Service.

8. Third-Party Integrations

Our Service integrates with third-party platforms, devices, and services. These third-party integrations are subject to their own terms of service and privacy policies. Wellumix is not responsible for the practices of any third parties whose services we integrate with. Your use of third-party integrations is at your own risk.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WELLUMIX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WELLUMIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL WELLUMIX'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS YOU PAID TO WELLUMIX IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Wellumix, its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of and access to the Service, your violation of these Terms, or your violation of any third-party right.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in San Francisco, California, in accordance with the American Arbitration Association's Consumer Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by posting a notice in the Service at least 30 days before changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the modified Terms.

13. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, us, or the Service. Upon termination, your right to use the Service ceases immediately. You may export your health data before termination; after account deletion, data recovery may not be possible.

The wellness content, articles, coaching materials, and educational resources available through the Service are provided for general informational and educational purposes only. This content is not intended to be a substitute for professional medical advice, diagnosis, or treatment. We strongly encourage you to discuss any significant wellness changes with your physician, nutritionist, or other relevant healthcare provider before implementation.

16. Corporate Wellness Programs

Organizations purchasing Wellumix for Teams or corporate wellness programs agree to additional Enterprise Agreement terms. Corporate Customers are responsible for ensuring employees are informed of and consent to data collection. Corporate Customers may not require employees to use Wellumix as a condition of employment. Aggregate team wellness data shared with Corporate Customers does not include individually identifiable employee health data.

17. API and Developer Terms

Developers accessing Wellumix functionality through our API are subject to the Wellumix API Terms in addition to these Terms. API access is granted by application only and may be revoked at our discretion. Commercial use of Wellumix API data requires a separate commercial license agreement.

18. Feedback and User Contributions

If you submit feedback, suggestions, or ideas about the Service, you grant Wellumix a non-exclusive, perpetual, irrevocable, royalty-free license to use this feedback without any obligation to compensate you. We use all user feedback to continuously improve the Service for the benefit of our entire community.

19. Force Majeure

Wellumix shall not be held liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, pandemic, natural disasters, power outages, internet service disruptions, cyberattacks, or government actions. We will make commercially reasonable efforts to restore service following any such disruption.

20. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other agreements incorporated by reference, constitute the entire agreement between you and Wellumix regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
